Purpose
Lead the identification, evaluation, and execution of strategic investments, partnerships, and acquisitions to accelerate growth in the beverage business, FMCG and Retail. Manage the end-to-end deal lifecycle from opportunity sourcing to deal signing and pre-integration planning. Focus on evaluating potential acquisitions, partnerships, or investments before signing the deal.
Responsibilities
1. Category Evaluation
- Evaluate new beverage categories and adjacent segments to identify long-term growth opportunities.
- Conduct market sizing, category growth analysis, and consumer trend assessment.
- Analyze competitive landscape, brand positioning, and category profitability.
- Assess entry barriers, regulatory environment, and distribution feasibility.
- Identify high-potential categories for expansion such as functional beverages, energy drinks, premium juices, RTD coffee, or health beverages.
- Provide strategic recommendations on category entry, investment priorities, and partnership opportunities.
2. Deal Origination
- Identify acquisition, investment, and partnership opportunities aligned with growth strategy.
- Build a pipeline of potential targets across beverage categories and emerging brands.
- Evaluate market expansion opportunities (geography, channel, category).
- Identify competitive positioning and long-term growth potential.
3. Commercial / Financial Due Diligence & Valuation
- Assess market size, growth trends, competitive landscape, and brand positioning.
- Evaluate distribution strength across GT, modern trade, HoReCa, and e-commerce.
- Evaluate pricing strategy and competitor positioning.
- Identify growth drivers and commercial risks.
- Analyze financial performance, profitability drivers, and working capital.
- Develop valuation models and recommend deal value.
- Identify financial risks, adjustments, and red flags.
Support valuation models (DCF, comparable transactions, multiples).
4. Operational Assessment
- Evaluate manufacturing capacity, supply chain efficiency, and cost structure.
- Identify operational risks and synergy opportunities.
- Review procurement costs and supplier dependencies.
- Identify synergies or cost optimization opportunities.
5. Deal Structuring & Negotiation
- Structure transactions (acquisition, minority investment, JV).
- Lead negotiations on valuation, governance, and commercial terms.
- Identify critical risks that could impact deal success.
- Optimize deal structure to maximize value and reduce risk.
- Identify earn-outs, performance milestones, or pricing adjustments.
6. Risk & Governance
- Prepare investment committee and board approval materials.
- Identify critical risks that could impact deal success, like financial , regulatory and operational.
- Identify brand, product quality, and food safety risks.
- Evaluate contractual liabilities and contingent risks.
- Propose risk mitigation strategies before signing.
7. Pre deal Integration Planning
- Ensure smooth post-deal integration.
- Identify integration priorities across sales, supply chain, and operations.
- Identify revenue and cost synergies.
- Ensure Day-1 integration readiness.
Qualifications
MBA from Tier-1 business schools preferred (IIMs / ISB / FMS / XLRI, etc) or a qualified CA.
Experience
5-7 yrs experience in deal origination, deal advisory, M&A, investment evaluation, transaction advisory, or corporate strategy.
