This position will be responsible for taking care of PAN India Contract Management including Contract Drafting Review & Negotiation, due diligence of the properties, Contract Management System and advisory, keeping in mind safeguarding the company's interests and reputation.
Contract Drafting Review & Negotiation:
- Experience in due diligence of the properties as to verify the title, evaluating nature of the properties including developed and undeveloped, drafting of lease deeds while negotiating the terms of contracts as to minimize risks.
- Ensure contract execution activities are completed as per timeline. Negotiate contracts and minimize risks and maximize legal rights and contractual entitlements and benefits. Anticipate issues and estimate risks strategically and help the relevant department. Preparing repository for existing legal contracts and documents including assistance in executions.
- Review of new contract for change in Laws/compliances, if found any Gap need to implement immediately. New contract template to be developed as per the Business requirements.
- Ensure all the Agreements/Contracts are legally correct and there is no jeopardizing facts in the document. Ensure all the Agreements/Contracts are verified by Legal before signatures of authorised signatory.
- To keep track of all contracts getting executed and ensure to upload it on the Contract Management tool. Agreement renewal should be on or before End date. If any agreement/Contract not renewal - Legal to take the mail confirmation from concern Business team before End date.
Compliances and Labour Laws
- Assist HR personnel in drafting and preparing official letters, and other correspondence related to domestic enquiries, disciplinary actions, grievance handling, or any labour-related matters, ensuring that all communications are accurate, professional, and compliant with company policies and applicable labour laws, while adhering to the guidance and instructions provided by the HOD/reporting manager.
- Keep abreast of legislative changes and trends in corporate & Medico - legal industry and those trends that affect business. Performing extensive Due Diligence/Compliance Checks with all relevant information. Ensure all due diligence and compliance searches are completed on time.
Advisory Function:
- To give advisory to various business team / departments on legal issues. Assist reporting manager in various legal advisory work as may be assigned. Assist HOD/reporting manager in interpreting situations that warrant legal involvement.
- Experience: Minimum 5 years experience in Contract Management.
- Prefer candidates from Listed Organizations in Healthcare, diagnostics, real estate, etc.
- Qualification: B.A.LL.B or LL.B
