Job Description

Experience: 3- 6 Years

Job Description:

1.Companies Act, 2013 compliances and statutory filings with Registrar of Companies (ROC)

.Compliances of Companies Act, 2013 having hands on experience of Related Party Transactions.

.To prepare and file Xbrl annual accounts approved by the shareholders, annual return and statutory forms like appointment/ resignation of directors (DIR-12), special resolutions approved by the shareholders (MGT-14), cost audit report approved the board (CRA-4), appointment of statutory auditor (ADT-1)/ cost auditor (CRA-2), half yearly return with ROC in respect of outstanding payments to Micro or Small Enterprises (MSME- 1) , Return of deposits (DPT -3) and declaration of beneficial ownership (MGT -6) with the Registrar of Companies (ROC), Ministry of Corporate Affairs.

.Statutory filings of Subsidiaries as may be required.

2.Compliance of SEBI Listing Regulations, Takeover Regulations, Insider Trading Regulations and other SEBI regulations.

3.Filing of corporate announcements, voting results and press releases etc. and support in various general and specific Stock Exchanges submissions as may come from time to time.

4.Foreign Exchange Management Act, Foreign Contribution Regulation Act and other RBI compliances. FCGPR, FC-TRS and Downstream investment etc.

5.Building strong compliance mechanism.

6.Investor Education and Protection Fund (IEPF) compliances:

.To undertake all the IEPF activities including transferring of unpaid dividend amount to IEPF, unclaimed shares to IEPF Suspense a/c, verification of claims received from shareholders, sensitizing the shareholders regarding IEPF through separate notices/newspaper advertisements and liaisoning with IEPF Authority as and when required.

.Co-ordination with Banks/RTA and Depositories w.r.t. the Corporate Action(s) executed by the Company for transfer of unpaid amount and unclaimed shares into the IEPF Accounts.

.Filing of all the IEPF forms prescribed within the statutory timelines including submission of verification reports w.r.t. the claims made by the shareholders (IEPF 5), and statement of amount of dividend declared on shares already transferred into IEPF Suspense account (IEPF 7).

7.To ensure maintenance of statutory registers prescribed under various Statues such as register of contracts, register of KMPs and register of investments etc.

8.Investor relations :

.Handling dedicated investor email id(s) of the company.

.Keep a track upon all the complaints received and disposed off on a regular basis.

.To assist the investors & RTA w.r.t. various queries raised by them and arranging the meeting with them if required.

.Building good investor relations mechanism.

9.Research and Development :

.Getting updated with all the regulatory changes emerging day by day.

.Making presentations and analyzing the impact of those regulations on the Company.
