Why This Role Exists
Every deal we close makes one thing clear: Qiro needs a senior legal owner who can structure a transaction, sit across the table and close it, and build the machinery so the next deal moves faster than the last.
This is not a support function. This is a leadership seat. You will be the person the founders rely on to take a half-formed commercial idea, structure it into something enforceable, negotiate it to signature, and make sure execution actually happens across every internal and external party involved.

About Qiro
Qiro is a global private credit marketplace for stablecoin-denominated financing. We provide revolving credit lines to payment companies, remittance and settlement businesses across global markets, funded by institutional stablecoin liquidity providers. We also run an underwriting-as-a-service business for DeFi protocols and private credit partners.
We operate at the intersection of structured credit and on-chain capital markets - counterparties across the US, UK, Singapore, UAE and beyond, and a structure spanning multiple offshore and onshore entities.
What You'll Own
Transaction Structuring & Execution
- Lead legal structuring of cross-border lending transactions involving:
- Offshore SPVs, trustees, custodians, administrators, and fintech / NBFI borrowers
- Draft, review, and negotiate transaction documentation, including:
- Subscription and investment agreements
- Loan and facility agreements
- Intercreditor and cash-flow arrangements
- Servicing, collection, and operational agreements
- Partnership and financial participation agreements
Structuring
- Own deal structuring end to end - how a facility is built, where the entities sit, how capital and collateral move, how risk is allocated across borrower, liquidity provider and Qiro
- Design SPV and facility structures across jurisdictions (Cayman, Singapore, BVI, Panama, Delaware, etc)
- Build corporate structures for payment financing and new, upcoming facility structures as products evolve
- Translate commercial intent into structures that are enforceable, tax-aware and defensible
Negotiation and closing
- Lead negotiations across the full spectrum: credit and facility agreements, security packages, intercreditor terms, partnership and curator agreements, liquidity-provider LOIs, underwriting-as-a-service engagements, vendor contracts, etc.
- Sit across the table from payment companies, market makers, stablecoin investors, credit funds, DeFi protocols, blockchain infrastructure companies and ecosystem partners - and close them
- Own the paper from first term sheet to signature, single-handedly where needed
Planning, execution and coordination
- Run deals like a project manager, not just a lawyer - timelines, dependencies, closing checklists, who-owes-what-by-when
- Coordinate across internal teams (credit, ops, founders) and external parties across globe (outside counsel, collateral agents, corporate service providers, custodians, KYC/KYB vendors) so nothing stalls
- Be the reliable center of gravity every deal routes through
Function-building
- Source, onboard, negotiate with and manage the service-provider stack across jurisdictions
- Build the templates, playbooks and processes that let Qiro scale deal velocity
- Own KYC/KYB, AML and the regulatory perimeter for stablecoins, tokenisation and digital assets across key markets
What We're Looking For
Must have
- 7-12 years post-qualification experience, with a strong in-house or credit-practice background
- Deep, hands-on experience in lending, private credit, wholesale financing, or NBFC financing across global markets
- You understand the mechanics cold: how a bank or NBFC lends to an NBFC or fintech borrower, what secures it, how it enforces. If you've papered facilities to non-bank lenders - the kind of entities that sit outside traditional banking in most markets - you'll recognise this immediately
- A demonstrable track record as a negotiator and closer - deals you personally drove to signature, not deals you supported
- Excellent planning and execution instincts; you coordinate messy multi-party closings and make them land on time
- Someone the founders can hand a problem to and stop thinking about - reliability under pressure is the core of this role
- Comfort operating across US and India timezones, and working from our HSR Layout office
Strong plus
- You've drafted private credit and NBFI financing documents yourself, end to end
- Working knowledge of stablecoins, tokenisation, VASP/MiCA regimes, or digital asset regulation
- Cross-border structuring experience across the jurisdictions above
- Securitisation, receivables or trade finance background
