Key Responsibilities

Commercial Contracts

Draft, review, negotiate, and manage MSAs, SOWs, NDAs, service agreements, vendor agreements, amendments, and other commercial contracts.
Review commercial terms including pricing, payment terms, liability, indemnity, warranties, termination, IP, confidentiality, and data protection.
Coordinate contract negotiations between Sales, Delivery, Finance, customers, and vendors.
Maintain a centralized contract repository and track renewals, obligations, notices, and key contractual dates.
Ensure appropriate internal approvals and execution of contracts.

Legal & Corporate Matters

Coordinate day-to-day legal matters across Syscort's entities and jurisdictions.
Coordinate with external legal counsel, law firms, company secretaries, PROs, and other professional advisors as required.
Prepare briefs, documentation, background information, and instructions for external counsel.
Track legal cases, notices, disputes, claims, and ongoing legal matters through to resolution.
Support corporate documentation, KYC, licenses, registrations, powers of attorney, board/shareholder documentation, and other legal records.
Coordinate legal support for directors, founders, and management on personal or director-related matters when required, including engaging and coordinating with appropriate external legal counsel.
Maintain confidentiality and secure records relating to sensitive legal and personal matters.

Commercial & Business Operations

Work closely with Finance, Sales, Delivery, HR, and Operations to identify and manage contractual and commercial risks.
Support customer/vendor onboarding and documentation.
Assist with disputes, payment-related contractual matters, claims, and termination processes.
Develop and maintain standard contract templates, approval workflows, legal trackers, and SOPs.
Maintain a calendar of important legal, corporate, contractual, and compliance deadlines.

Requirements

Bachelor's degree in Law, Business, Commerce, or a related field.
3–6 years of experience in commercial contracts, legal operations, contract management, or corporate legal.
Strong understanding of commercial contracts and contract lifecycle management.
Ability to review agreements, identify risks, and coordinate negotiations.
Strong drafting, documentation, communication, and stakeholder-management skills.
Experience coordinating with external lawyers and professional advisors.
Good understanding of multi geography commercial practices; international exposure is an advantage.
High level of discretion when handling confidential corporate, director, and personal legal matters.

Preferred

LLB/LLM or equivalent legal qualification.
Experience in a technology, consulting, SaaS, or professional services environment.
Experience managing contracts across multiple jurisdictions.
Familiarity with technology contracts, IP, data protection, confidentiality, and professional services agreements.
