About the Role:

We are looking for an experienced Company Secretary to lead our IPO readiness journey and manage end-to-end secretarial compliances as we prepare to go public.

Key Responsibilities:

Drive IPO preparation — coordinate with merchant bankers, legal counsel, auditors, and regulatory authorities (SEBI, ROC, Stock Exchanges)

Ensure compliance with SEBI (ICDR) Regulations, LODR Regulations, and other applicable IPO-related norms

Assist in drafting and vetting of DRHP/RHP, offer documents, and related disclosures

Manage corporate restructuring, due diligence, and documentation required for public listing

Handle Companies Act, 2013 compliances — board meetings, general meetings, resolutions, minutes, statutory registers

Ensure timely ROC filings and maintenance of statutory records

Coordinate with auditors, legal advisors, and regulatory bodies for compliance certifications

Advise the Board and Management on corporate governance best practices

Manage related party transactions, disclosures, and secretarial audits

Liaise with SEBI, Stock Exchanges (BSE/NSE), and RTA as required post-listing readiness

Desired Candidate Profile:

Qualified Company Secretary (ACS/FCS)

Prior experience in IPO process, capital markets, or corporate restructuring preferred

Strong knowledge of Companies Act, SEBI Regulations, and FEMA

Experience in healthcare/hospital sector will be an added advantage

Excellent drafting, communication, and coordination skills
