We are looking to recruit a Qualified or Semi-Qualified Company Secretary with 3–5 years of relevant experience in managing end-to-end secretarial and corporate compliance for the Company's group entities, including Private Limited Unlisted Companies and LLPs.

The candidate should possess sound knowledge of the Companies Act, 2013, LLP Act, 2008, and other applicable rules, regulations, and statutory requirements.

The Scope of work would include the following:

Convening and conducting Board Meetings, Committee Meetings, and Annual General Meetings, including preparation and circulation of notices, agendas, supporting documents, and minutes.
Drafting, reviewing, and circulating Board Resolutions, Shareholders Resolutions, and other corporate approvals.
Maintaining and updating Minutes Books, Statutory Registers, and Secretarial Records, including but not limited to:
Register of Members
Register of Directors and Key Managerial Personnel
Register of Charges
Register of Related Party Transactions
Other statutory registers and records as applicable
Ensuring timely filing of Annual Returns, Financial Statements, E-Forms, and other statutory filings with the Ministry of Corporate Affairs (MCA) and other regulatory authorities, as applicable.
Ensuring ongoing compliance with the provisions of the Companies Act, 2013, LLP Act, 2008, and other applicable corporate laws, rules, and regulations.
Monitoring statutory due dates and maintaining a comprehensive Compliance Calendar for all group entities.
Coordinating and liaising with the Secretarial Auditor, Statutory Auditors, Legal Advisors, Consultants, and other stakeholders to ensure timely completion of compliance requirements.
Assisting in the preparation and maintenance of documentation
Supporting management with corporate governance, secretarial matters, and statutory compliance requirements.
Maintaining proper documentation and records for all corporate and secretarial activities.
Undertaking all other relevant secretarial, corporate compliance, and allied responsibilities assigned from time to time.

Candidate Profile

Qualification: Qualified Company Secretary or Semi-Qualified Company Secretary.
Experience: 3–5 years of relevant experience in Corporate Secretarial and Compliance functions.
Experience in handling multiple group entities, Private Limited Companies, and LLPs will be preferred.
Strong knowledge of MCA filings, Companies Act, LLP Act, and statutory compliance requirements.
Excellent drafting, documentation, communication, and coordination skills.
Ability to work independently, manage multiple deadlines, and maintain a high level of accuracy and confidentiality.
