Qualification-LLB/LLM

Experience-6–10 years

Work Timings-10:00 AM to 7:00 PM

Working Days-Six days a week, with the second Saturday off

Reporting To- General Manager – Business

Candidate Requirements

Candidate should be based in Mumbai.

Proficiency in Hindi and English both written and verbal is required, Marathi- Preferred

Candidates should preferably have experience working with managed/serviced office operators or law firms specializing in real estate.

Role Expectation

For a role of this seniority, capability indicators such as stakeholder management, negotiation skills, business-partnering ability, sound judgement and risk-calibration are as important as functional responsibilities.

The candidate will be expected to independently take ownership of all assigned responsibilities and manage the Legal Department.

Key Result Areas and Responsibilities

A. Non-Litigation

  • Independently structure, draft, vet and negotiate all types of real estate documents, including development agreements, sale deeds, conveyance deeds, agreements for sale, consent agreements, leave and licence agreements, powers of attorney, affidavits, mutual non-disclosure and confidentiality agreements, and vendor agreements.
  • Independently structure, draft, vet and negotiate commercial contracts, including LOIs, MOUs, term sheets, construction contracts, NDAs, sponsorship agreements, franchise agreements, power purchase agreements, employment contracts, distributorship agreements, HR policies, codes of conduct, financing/debt and/or equity agreements, ESOP structures, and VC, PE and M&A agreements.
  • Draft various other documents as may be required during the course of work.
  • Own the legal and technical due diligence, investigation and vetting of landlords, land, and properties proposed to be acquired under leave and licence or lease arrangements.
  • Inspect and verify title and property documents, including but not limited to revenue records, Property Register Cards, title deeds and other related property documents.
  • Inspect and vet technical documents relating to properties, including but not limited to Occupancy Certificates, Fire NOCs, Form B, structural stability certificates, DG/PCB certificates and other related technical documents.
  • Provide legal advice and support on a wide range of legal matters and business activities.
  • Primarily focus on drafting, vetting, negotiating and structuring commercial transactions, service agreements, leave and licence/lease agreements, contracts and all other types of commercial agreements.
  • Vet clients and their companies with respect to their legal existence, stability, liquidity and other relevant factors.
  • Manage communication and correspondence with clients for finalising the terms and conditions of contracts.
  • Ensure that contracts are finalized within the negotiated and agreed-upon parameters.
  • Attend meetings with clients and landlords.
  • Coordinate and regularly follow up with clients and landlords for timely closure of documentation and pending legal matters.
  • Maintain an updated non-litigation tracker and MIS.
  • Handle the day-to-day operations of the Legal Department.
  • Perform all responsibilities with the highest level of efficiency and within defined turnaround times.

B. Litigation

  • Independently manage and supervise litigation relating to civil, commercial, real estate and consumer disputes.
  • Manage matters before Civil Courts, Consumer Forums, RERA authorities, Arbitration Tribunals, NCLT and High Courts.
  • Instruct, brief and coordinate with external counsels and law firms.
  • Monitor case strategies, hearings, documentation, progress and outcomes.
  • Evaluate legal risks and potential exposure arising from disputes.
  • Recommend settlement, mediation or litigation strategies in consultation with senior management.
  • Draft and vet legal notices, replies, affidavits, plaints, written statements and other litigation documents, independently or in coordination with external counsel, as applicable.
  • Maintain an updated litigation tracker and MIS for management reporting.
  • Regularly highlight case status, key developments, risk exposure and required management actions.
  • Attend all legal proceedings, court cases, arbitration hearings, NCLT matters and other relevant forums as required.

C. Legal and Statutory Compliance

  • Manage RERA project registrations, disclosures and RERA-compliant documentation, beyond RERA-related litigation.
  • Manage compliance relating to the formation of societies or associations and the conveyance or handover process.
  • Handle land-use conversion, building and sanction plans, commencement certificate approvals and related documentation.
  • Ensure fire-safety compliance across leased and managed properties.
  • Review and ensure compliance with lease clauses relating to shared or coworking use of properties.
  • Support registered-office and virtual-office compliance requirements for client companies, including NOCs and GST-related documentation.
  • Manage signage, CCTV and member-facing regulatory compliance.
  • Provide corporate-governance support, including Board and shareholder documentation and ROC filings.
  • Manage compliance relating to property insurance, Shops and Establishments requirements, labour laws, POSH and other compliance or statutory requirements that may arise from time to time.
