We are looking for a leader as Team Member- Company Secretary for Aluminium Business.

Roles & Responsibilities:

  • Support compliance with SEBI LODR Regulations, Companies Act, 2013, and SCRR
  • Prepare and review stock exchange filings (NSE/BSE), including board meeting outcomes, periodic disclosures, and event-based submissions
  • Maintain a compliance calendar to ensure timely and accurate regulatory filings
  • Coordinate end-to-end Board and Committee meetings, including agenda collation, note preparation, and meeting packs
  • Draft minutes, resolutions, and track action points with timely follow-ups
  • Manage corporate filings with MCA (ROC), stock exchanges, and depositories
  • Maintain statutory registers, records, and secretarial documentation
  • Support execution of corporate actions such as director/KMP appointments, resignations, and dividend declarations
  • Ensure accurate and timely completion of all related filings and disclosures for corporate actions
  • Assist in implementation of governance frameworks including Insider Trading (PIT) and Related Party Transactions (RPT) compliance
  • Support adherence to Code of Conduct and other corporate governance policies, including periodic certifications
  • Coordinate with secretarial auditors and assist in audit preparation and closure of observations
  • Liaise with internal stakeholders (Finance, Legal, Business) and external agencies (RTA, depositories, exchanges, consultants)
  • Maintain compliance trackers, dashboards, and support digitization and process improvements in secretarial functions

Desired Skills:

  • Company Secretary (CS) with 5-7 years of relevant experience preferably in a listed company or large corporate group
  • Hands-on experience in SEBI LODR and stock exchange filings is essential
  • Strong working knowledge of corporate and securities laws
  • Strong coordination and stakeholder management
