Senior Associate - Company Secretary - FEMA Compliances

About The Role

We are seeking an experienced Company Secretary with a strong background in Foreign Exchange Management Act (FEMA) and related compliances. The ideal candidate will play a critical role in ensuring the Client's adherence to corporate governance norms, FEMA regulations, and other statutory obligations under Indian corporate and exchange control laws.
Key Responsibilities
- Handle all FEMA compliances including inbound and outbound investments, share allotments, FDI reporting (FC-GPR, FC-TRS), ECBs, ODI, and liaison/branch office setups.
- Ensure timely filings with RBI, MCA, and other regulatory authorities.
- Advise client's management on cross-border transactions, capital structuring, and regulatory implications under FEMA.
- Maintain and update FEMA-related records, registers, and documentation.
- Draft and vet FEMA-related agreements, board resolutions, and declarations.
- Manage company secretarial functions - board and shareholder meetings, statutory registers, annual filings, and compliance under the Companies Act, 2013.
- Liaise with regulators, legal counsel, auditors, and external consultants on FEMA and company law matters.
- Keep abreast of amendments in FEMA, Companies Act, SEBI, and RBI regulations and implement necessary compliance actions.
Required Qualifications & Skills
- Qualified Company Secretary (ICSI).
- 3-8 years of post-qualification experience, with significant exposure to FEMA/RBI matters.
- Strong understanding of FDI, ODI, ECB, and cross-border transaction regulations.
- Excellent drafting, communication, and analytical skills.
- Ability to work independently and interface with multiple stakeholders.
- Exposure to listed companies or consulting firms will be an added advantage.
