Job Description
With technology becoming central to every transaction, we are looking for a Manager/Senior Manager – Technology in Deals to anchor engagements with corporate and PE/VC clients. This marquee client-facing role involves driving pre-deal technology due diligence, Tech separation/integration planning & execution, TSA support, and post-deal value realization.
In addition to traditional IT diligence, the role requires a strong flavor of AI diligence – assessing clients AI maturity, risks, compliance, and value creation opportunities. You will work at the intersection of technology, M&A, and business value, leading engagements, and mentoring teams.
Skills Required
- Excellent communication and executive presence to engage CXO-level stakeholders.
- 10+ years of tech-functional experience in Technology in M&A scenarios with a proven track record at Big 4 or top-tier consulting firms.
- Strong understanding of IT due diligence, pre-Day 1 planning, Day 1 execution, and post-Day 1 integration/ separation.
- Hands-on experience in synergy identification, TSA structuring, interdependency mapping, and post-deal value realization.
- Familiarity with AI/ automation, digital platforms, and data ecosystems, with ability to assess risks and opportunities in deals context.
- Ability to manage multiple projects independently, balancing sales/ pre-sales with delivery excellence.
Responsibilities
- Deal Advisory & Diligence
- Lead technology due diligence engagements covering IT/ digital strategy, infrastructure, cybersecurity, AI & digital platforms.
- Evaluate risks, costs, and opportunities for corporate and PE clients.
- Develop clear diligence reports and executive-ready insights.
- Separation & Integration Execution
- Drive IT workstreams across pre-Day 1 planning, Day 1 readiness, and post-Day 1 integration/ separation.
- Structure and manage Transition Service Agreements (TSAs), carve-outs, and synergy capture programs.
- Anchor workshops with CIOs/ CTOs to define operating models, IT governance, and synergy roadmaps.
- AI Diligence & Digital Focus
- Assess AI adoption, readiness, data management, compliance, and risks as part of diligence.
- Identify AI-driven value creation levers in integration/ post-deal phases.
- Bring thought leadership on AI in M&A to clients and internal teams.
- Leadership & Business Development
- Act as the primary engagement lead, ensuring quality delivery and stakeholder satisfaction.
- Mentor and coach junior consultants in Technology in Deals methodologies.
- Support go-to-market efforts: proposals, pitches, and knowledge development on Tech in M&A and AI diligence.
Preferred Background
- Education: Bachelor's in Engineering/ Technology; MBA/ post-grad in management preferred.
- Experience: 7–10 years in Technology in Deals / M&A advisory, preferably at Big 4 or equivalent consulting environment.
