About the Role

We are seeking a highly experienced and meticulous Company Secretary to join our team as a Manager. This critical role is responsible for upholding the highest standards of corporate governance, ensuring absolute compliance with regulatory requirements, and managing all secretarial functions of the company, with a specific focus on obligations related to a listed entity.

Key Responsibilities

  • SEBI LODR Compliance: Take complete ownership of compliance with SEBI (Securities and Exchange Board of India) Listing Obligations and Disclosure Requirements (LODR) for the listed entity.
  • Board and Committee Management: Plan, organize, and provide comprehensive assistance for all proceedings of the Board of Directors and various Committees (e.g., Audit Committee, Nomination and Remuneration Committee, Stakeholders Relationship Committee). This includes preparing agendas, sending notices, recording detailed minutes, and tracking action items.
  • Regulatory Filings & Compliance Framework: Manage and oversee all statutory and regulatory filings with the Registrar of Companies (ROC), SEBI, and other regulatory bodies. Develop, implement, and maintain a robust compliance framework to ensure adherence to all applicable laws and regulations.
  • Corporate Governance: Advise the Board and Management on best practices in corporate governance and ethics.
  • Shareholder/Stakeholder Relations: Handle matters related to shareholder communication, general meetings (AGM/EGM), and investor grievances.

Qualifications and Experience

  • Experience: 5-7 years of post-qualification experience as a Company Secretary.
  • Certification: Must be a qualified Company Secretary (ACS/FCS) from the Institute of Company Secretaries of India (ICSI).
  • Industry Expertise: Must have prior work experience in a well-known equity listed entity or a high-value debt listed entity, with direct, hands-on experience in handling SEBI LODR compliance.
  • Knowledge: In-depth, practical knowledge of the Companies Act, 2013, SEBI regulations (especially LODR), and other relevant corporate and economic laws.
  • Skills: Exceptional drafting, communication, and interpersonal skills. Proven ability to work under pressure, meet strict deadlines, and maintain confidentiality.
