ROLE SUMMARY
We are seeking Legal Professionals at within the Banking/NBFC/Financial Services domain. Candidates will handle legal drafting, vetting, negotiation, and regulatory support across Supply Chain Finance, Co-lending, bilateral lending, and loan/security documentation.
Key Responsibilities
- Draft, review, vet, and negotiate:
- Business Correspondent (BC) agreements, DSA agreements, and related onboarding documentation
- Facility agreements (secured/unsecured)
- Co‑lending agreements and SLAs
- Hypothecation deeds, guarantees, DPNs, NDAs
- Corporate authorizations, resolutions, and ancillary documents
- Review constitutional documents and authorizations for lending transactions.
- Conduct legal research and track regulatory updates impacting NBFC operations.
- Liaise with external counsel, law firms, and consultants for transaction/legal support.
- Assist in maintaining documentation systems and records.
Education: - LLB/LLM
Experience: 7–8+ years PQE in Banking/NBFC/Financial Services, with strong experience in Supply Chain Finance, co‑lending, and bilateral loan documentation, supported by robust drafting and negotiation skills, deep familiarity with lending products, and a solid understanding of applicable laws and RBI regulations.
Required Qualifications & Skills
- Hands-on experience in:
- Supply Chain Finance documentation
- Co‑lending structures and agreements
- Bilateral loan and security documentation
- Review of Business Correspondent (BC) agreements and DSA agreements
- Strong command over relevant laws, including relevant provisions of: Companies Act, Indian Contract Act, Sale of Goods Act, Transfer of Property Act, principles of Hypothecation, IBC, SARFAESI
- Good understanding of RBI Master Directions applicable for NBFC's, Outsourcing guidelines and co-lending guidelines
- Strong legal drafting, negotiation, research, and analytical skills.
