Tamil Nadu Infrastructure Fund Management Corporation (TNIFMC) is a professional Investment management company managing multiple thematic funds registered under the SEBI AIF Regulations. The government of Tamil Nadu is an anchor invested in all the Funds. The goal of TNIFMC is to generate attractive risk adjusted returns though sustainable investing principles.

TNIFMC is looking to engage a legal executive for the Shelter Fund, Emerging Sector Fund and Green Climate Fund. The position will be based out of Chennai and will report to the General Counsel.

Roles & Responsibilities:

1.    Draft, review and closure of term sheet and definitive documentations.

2.    Coordinate with external law firms for due diligence/ documentation

3.    Assist in deal structuring and negotiations

4.    Assist in conditions precedent and conditions subsequent closure

5.    Any other work assigned by the organization

6.    Ensure compliance with all necessary rules and AIFs regulations

7.    Assist in portfolio management, reporting and compliance to SEBI.

Desired Profile:

1.    2-5 years of post-qualification experience

2.    Understanding of corporate law with regards to investments and general corporate commercial advisory

3.    Experience in drafting/ review of transaction documents (SHA/ Debenture  

Agreements/ Investment Agreements etc.)

4.    Experience in M&A / private equity / venture capital would be an added

Advantage

5.    Understanding of investment structures CCPS/ NCDs/ OCDs is necessary

6.    Knowledge of SEBI regulations (particularly on AIFs)
