Role Overview We are seeking a qualified LLB degree with a Company Secretary (CS) to join our Legal & Compliance team. This role is pivotal in ensuring that OculusIT adheres to all legal and regulatory requirements, maintains corporate governance standards, and mitigates legal risks across our operations in India and North America. Key Responsibilities Corporate Compliance & Governance Ensure compliance with the Companies Act, 2013, SEBI regulations, FEMA, and other applicable laws. Maintain and update statutory registers and records as per the Companies Act. Prepare and file necessary forms and returns with the Ministry of Corporate Affairs (MCA) and other regulatory bodies. Oversee compliance with corporate governance standards and best practices. Advise the Board and senior management on compliance matters and corporate governance issues. Legal Documentation & Contract Management Draft, review, and negotiate contracts, agreements, and other legal documents. Ensure that all legal documents are in compliance with applicable laws and regulations. Maintain a repository of legal documents and ensure easy access for relevant stakeholders. Board & Shareholder Meetings Organize and facilitate Board and General Meetings, including preparation of agendas, notices, minutes, and resolutions. Ensure compliance with statutory requirements related to meetings and resolutions. Act as a liaison between the Board, shareholders, and regulatory authorities. Regulatory Liaison & Reporting Act as the primary point of contact with regulatory authorities, including MCA, SEBI, and RBI. Ensure timely and accurate submission of regulatory filings and reports. Monitor changes in laws and regulations and advise the organization on necessary actions. Legal Advisory & Risk Management Provide legal advice on various matters, including contracts, employment law, and corporate policies. Identify legal risks and recommend mitigation strategies. Assist in dispute resolution and manage litigation matters. Qualifications & Experience Essential: o Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI). o Bachelor's degree in Law (LLB) from a recognized university. o Minimum 57 years of post-qualification experience in corporate compliance and legal functions. o In-depth knowledge of Indian corporate laws, including the Companies Act, 2013, SEBI regulations, and FEMA. o Strong understanding of corporate governance practices and regulatory requirements. Desirable: o Experience in the IT/technology sector or with multinational organizations. o Familiarity with international compliance standards and regulations. o Additional qualifications such as LLM or certifications in corporate governance are a plus. Skills & Competencies Excellent written and verbal communication skills. Strong analytical and problem-solving abilities. High level of integrity and professionalism. Ability to work independently and manage multiple tasks. Proficiency in legal research and use of legal databases.
