Job Description

About the Role

We are looking for a dedicated and detail-oriented Company Secretary to manage corporate secretarial, regulatory, and statutory compliance matters. The ideal candidate will ensure compliance with the Companies Act, SEBI regulations (if applicable), and other corporate laws while supporting the management with governance and legal documentation.

Key Responsibilities

  • Ensure compliance with the Companies Act, 2013, and applicable corporate laws.
  • Handle company incorporation, LLP incorporation, and post-incorporation compliance.
  • Prepare and file statutory forms, returns, and documents with the Ministry of Corporate Affairs (MCA).
  • Draft Board Meeting notices, agendas, resolutions, minutes, and Annual General Meeting (AGM)/Extraordinary General Meeting (EGM) documents.
  • Maintain statutory registers, records, and secretarial documents.
  • Coordinate with Directors, Auditors, Regulatory Authorities, and other stakeholders.
  • Ensure timely filing of Annual Returns, Financial Statements, and other statutory filings.
  • Assist in due diligence, corporate restructuring, share allotments, transfers, ESOPs, and other corporate actions.
  • Draft legal agreements, declarations, and corporate documents.
  • Provide legal and compliance support to internal teams and clients.
  • Track regulatory updates and ensure timely implementation of changes.
  • Handle RBI, FEMA, and other regulatory compliance, where applicable.
  • Liaise with government departments for approvals, registrations, and compliance matters.

Required Qualifications

  • Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).
  • Bachelor's degree in Commerce, Law, or a related field preferred.
  • Strong knowledge of the Companies Act, 2013, MCA filings, and corporate governance.
  • Knowledge of FEMA, LLP Act, SEBI Regulations, and RBI compliance will be an added advantage.
  • Excellent drafting and communication skills.
  • Strong analytical and problem-solving abilities.
  • Ability to work independently and manage multiple assignments.

Preferred Skills

  • Hands-on experience with MCA Portal.
  • Knowledge of ROC compliance and secretarial audits.
  • Good understanding of corporate legal documentation.
  • Strong attention to detail and organizational skills.
  • Proficiency in MS Office (Excel, Word, PowerPoint).
  • Ability to work in a fast-paced environment and meet deadlines.
