Job Purpose
Provide end-to-end legal support and strategic advisory across GFM - Treasury and IBD comprising of Debt Capital Markets (DCM) and Equity Capital Markets (ECM), including transaction execution, documentation, legal and regulatory interpretation and policy development, while ensuring effective management of legal, regulatory and operational risks.
Key Accountabilities
Business Enabler
Provide pragmatic, solution-oriented legal advice to manage risks and support business objectives. Act as a trusted partner to business and support teams, build strong relationships, and manage external counsel to ensure efficient and effective transaction execution.
Drafting and Negotiation
Collaborate with GFM (India and Singapore), DCM and ECM teams to ensure legal and regulatory requirements are reflected in transaction documentation and internal frameworks. Deliver clear, practical legal advice on regulatory and contractual matters.
Risk Management
Identify, assess and manage legal, regulatory and operational risks across transactions, products and business activities.
Customer & Process Orientation
Strengthen transparent, efficient and legally robust processes and policies. Conduct risk reviews and enhance governance standards.
Strategic Orientation
Track legal and regulatory developments, and support effective implementation across business and support units.
Job Duties & Responsibilities
Treasury Legal
- Independently draft, review, negotiate and finalise treasury documentation, ISDA (including structured / project finance ISDAs and related documentation), Variation Margin CSA, Initial Margin CTA, Security Agreements, GMRA and CDEA
- Lead negotiations, manage deviation processes and conduct counterparty due diligence, including capacity and authority assessments (onshore and offshore)
- Provide legal advisory on FX, derivatives, commodity and structured hedging transactions
- Supervise, guide and oversee the work of team members
- Support new product approvals, operational risk reviews and implementation of legal and regulatory changes
- Support deal structuring, preparation/review of term sheets and execution of complex or structured transactions
- Provide legal support for treasury infrastructure and platforms, including SDWT, SARVAM, Euroclear, Clearstream and other system/platform arrangements
- Partner closely with CCU, Operations and Compliance on documentation, onboarding, regulatory and process governance matters
DCM Legal
Requirements:
- Provide end-to-end legal support for structured and vanilla DCM transactions
- Draft and negotiate key transaction documents, including:
- Term sheets, Debenture Trust Deeds, security documents, information memoranda and closing opinions
- Manage the transaction lifecycle, including CP/CS satisfaction and transaction closing
- Coordinate with debenture trustees, external counsel and internal stakeholders
- Advise on applicable legal and regulatory framework, including RBI, SEBI, Companies Act and IBC, and support structured financing, restructuring and enforcement-related transactions
- Support transactions involving stressed exposures, including insolvency-related scenarios, security enforcement and inter-creditor arrangements
ECM Legal
- Support ECM transactions, including IPOs, QIPs, preferential issues and rights issues
- Draft and review key documents, including:
- Engagement letters, fee letters, consent letters, underwriting agreements, DRHP/RHP, offering documents and NDAs
- Support regulatory interface with SEBI and stock exchanges, including handling queries, disclosures and ICDR compliance requirements
- Develop, review and update ECM policies, procedures and governance frameworks
Cross-Functional Responsibilities
- Provide proactive legal advisory aligned with business objectives and risk appetite
- Liaise with Singapore Legal and Operations teams on transactions, regulatory matters and system requirements, as required
- Develop and update internal policies, templates, playbooks and legal frameworks
- Manage external counsel and ensure efficient, high-quality and cost-effective delivery of services
- Partner with business and support teams on regulatory, operational and governance matters
- Support audits, regulatory inspections and internal control processes
- Drive knowledge sharing, training and capability building within the team
Qualifications & Experience
- Qualified lawyer with post qualification experience in GFM, DCM and ECM legal
- 8–10 years PQE
- Experience in banking and financial services, including treasury, derivatives and capital markets

TECHNICAL COMPETENCIES
- In-depth knowledge of treasury and derivatives documentation (ISDA/CSA/GMRA and structured derivatives)
- Strong understanding of capital markets documentation (DCM and ECM)
- Familiarity with banking systems, platforms and operational workflows
- Strong knowledge of applicable Indian legal and regulatory framework governing financial markets, including RBI, SEBI, FEDAI, FIMMDA, Companies Act, IBC and related laws
WORK RELATIONSHIPS
- Close collaboration with business teams (Treasury, DCM, ECM), CCU, Operations, Compliance and other internal stakeholders
- Regular interaction with DBS Singapore Legal and regional teams
- Engagement with external counsel, trustees and market participants
